The project stems from a simple question: Can we create, by pooling the knowledge of a massive amount of people, an investment vehicle that generates an alpha above average classical crypto VC funds? The answer was to build a venture capital fund, fully on the blockchain, where the community makes decisions and with mechanics that generates ripple effect throughout its entire ecosystem, that is virtuous and exponential, and therein provides some of the highest financial returns ever created by a VC fund. Classical investment funds raise money among High Net Worth Individuals and big financial institutions, which makes such investment difficult to access for 99% of the global population. The process is very cumbersome and paper heavy. Rebellion Protocol on the contrary is accessible to anyone and structured in a simple manner. Anyone can buy the Rebellion token ($REBL) and therefore become a VC investor. On top of that, Rebellion Protocol does not raise money, it takes fees on its token transactions to finance its VC fund. So no need to spend enormous time on roadshows (which don't create value) or answer to big institutional investors, that could force us into acting in a way we don't want to act. In fact, Rebellion Protocol answers to no one except its community. Our community governs the project through the Rebellion Protocol Decentralized Autonomous Organization (REBL DAO). The project's VC fund invests in promising blockchain projects, ideally at a pre-sale stage, and aims to achieve a minimum of 10x or 1000% returns over the investment period. It therefore deploys funds with a mid to long-term investment horizon. In terms of investment focus, it invests in projects with a compelling use case, strong teams/backers/advisors, healthy token economics and is agnostic to blockchain technologies or trends. #### How does it work? The project's token, the **Rebellion protocol *****(*****$REBL)**, a BEP-20 token, incorporates three (3) built-in mechanisms that are financed each by a 3% fee on buy/sell transactions of the REBL token, for a total of 9% transaction fee. On every transaction, these mechanisms take place: 1. 3% allocation to the VC fund, also called the "Rocket Pool" 2. 3% redistributed to $REBL holders (also called holder reflection) 3. 3% added to the liquidity (automatic liquidity increase) The project is not only the first VC fund fully on the blockchain but also the first community driven VC fund. Thus, **REBL DAO NFTs** have been developed to function as governance tokens, giving its holders voting rights, in order for them to drive the Rebellion Protocol project and its VC fund. REBL DAO NFTs, which are essentially voting rights packaged in awesome looking NFTs, can be obtained either as a reward for staking $REBL tokens (Primary market) or purchased on the Rebellion Protocol marketplace (secondary market). Together we are strong, together we are one and together we are Rebellion. # Rebellion VC fund Cryptocurrency & blockchain technologies are the building block of a new financial infrastructure, similar to how the internet was the building block of a new information infrastructure. The Rebellion Protocol is a crypto focused venture capital (VC) fund that is entirely on the blockchain and 100% community driven. We are a unique investment DAO. ### Investment strategy The investment strategy is focused tokens of projects developing blockchain protocols, cryptocurrencies, decentralized applications (dApps) and blockchain based alternative projects such as NFT, Metaverse or Play to earn. In this sense, and unlike classic investment fund, Rebellion protocol does NOT invest in equity and is therefore NOT an asset manager. The most important filters determining if an project is interesting for the fund are: 1. A compelling usecase(s) solving one or more pain point(s) 2. A strong team, ideally with proven track record 3. Well built reasonable token economics 4. The project is in an early-stage (Pre-sale, recently launched, early stage of growth phase) A project that has attracted experienced backers or advisers is a strong additional argument. The investment time-horizon is 3 months minimum to 2 years maximum. Expected returns must be a minimum of 10x or 1000% over the investment period. It does not mean the fund will systematically achieve this return with every investments, but each investment must exhibit the ability to reach these kind of returns. Ultimately, investment decisions are validated by the community of holders. Depending on the community's decisions, investment may differ from the initial investment focus, but strong arguments must be given to back the decision. ### Investment decision making Rebellion protocol is not a traditional VC fund as investment decisions are not made at the discretion of an investment committee, but by the community of its members holding voting powers. Therefore the entire investment decision making is made via the project's Decentralized Autonomous Organization (DAO), the REBL DAO. In this sense it differs drastically from classic investment funds. This also means that there are no general partners, limited partners or any equity involved whatsoever. In order to finance its investment fund, the project has put a mechanism in place which take a 3% fee on all buy/sell transactions of $REBL and redirects this fee into the fund. That means on any given day if there is a transaction volume on the $REBL of $1'000'000, the investment fund will grow by $30'000. ### Successful investments fund use When a divestment event takes place, i.e. when the Rebellion VC fund sells its position in a project after it grew in value, funds are returned to the Rebellion VC fund. Unless specifically voted otherwise, and provided the investment generated a minimum of 2x return, divested funds are used as follow: * 60% reallocation to new investments * 20% $REBL token purchase & burns (over a certain period of time) * 20% Dividends airdrops * 10% to $REBL holders (in REBL) * 5% to REBL DAO NFT holders (in $REBL) * 5% to the consultant managing that investment (in $REBL or Stables) ### Entirely on the blockchain The Rebellion Protocol is entirely on the blockchain, which was the only way to guarantee a high level of efficiency when investing and to democratize the investment decision making. ### Development Stage The REBL DAO (decentralized governance) has not yet been deployed. This means the team is still in control of the Rebellion Protocol investment fund. The team will use the investment fund wisely in order to grow the project until the decentralized governance is deployed, mostly including financing activities such as: * Infrastructure and blockchain related developments * Marketing and PR (including community Airdrops) * Manual burns ### Is Rebellion Protocol an Asset Manager? The answer is no, it is not. There is no equity involved and no investment committee. Rebellion Protocol is just a blockchain based project with a utility token, a DAO and a protocol in place to formalize the way it works. # The REBL Token « Sharing actionable knowledge within a community turns conversations into collaboration » ## Token & Protocol The project's token, the **Rebellion protocol *****(*****$REBL)**, a BEP-20 token, incorporates three (3) built-in mechanisms that are financed each by a 3% fee on every buy/sell transactions of the REBL token, for a total of 9% transaction fee. Information on the project's fund can be found in the [previous](/rebellion-vc-fund#investment-strategy) section. ### Holder Reflection The holder reflection aims to palliate to the shortcomings of farming rewards and potential impermanent losses. On top of that it aims to remove concerns related to staking and un-staking period limitations. A 3% fee is taken on each $REBL transactions and redistributed to holders of $REBL tokens, pro-rata their holdings, in a fee optimizing sequence. Simply put, if you hold $REBL tokens, you get more $REBL tokens, in the same way that you receive an interest rate when putting cash in a savings bank account. This mechanism is in fact solving a handful of investment related challenges and incorporates other advantages such as compounding effect and reducing price volatility. ### Automatic Liquidity increase Liquidity is often a challenge for new projects. The Automatic Liquidity increase mechanism, coded in the $REBL contract, which takes a 3% fee on all transactions, solves this challenge. This ensures the liquidity scales as transactions take place and grows with the value of the token and the project over time. This in turn guarantees $REBL investors can buy and sell in an efficient manner. In addition it builds an ever growing price floor. ### Manual Burns Through multiple economic observations, it has been put forward that a decreasing supply will inevitably result, *ceteris paribus* (other variables remaining constant), in the rise in value of the underlying asset, that is the token. An additional mechanism that the project may use is manual token burns, however not automatic, as not always good for the project. Token burns are executed based on the needs of the project and validated by the community. ### **Liquidity on DEX** 50% (500B tokens) of the total $REBL token liquidity is locked in liquidity pools at token launch, on decentralized exchanges (DEX). The token launch and liquidity was added on the 11.11.2021. The team or investors do not receive any tokens. ### **Treasury Reserve** The Rebellion Protocol Treasury Reserve was set up at the inception of the project and represents 30% (300B tokens) of the total $REBL token supply. The reserve is released aimed at being the initial treasury for the project to make investments. Typically this funds will be used to create bonds (sell $REBL against BUSD or BNB at a discount price with a vesting period), to invest in projects and/or to be burned. The Treasury reserve is locked until released for use. ### **Ecosystem Reserve** A 20% (200B tokens) ecosystem reserve of the total $REBL token supply is locked until released for use. This reserve is intended for future developments including but not limited to operations and rewards related the project's decentralized exchange, NFT marketplace and Launchpad. # The DAO NFT « There is no power for change greater than a community discovering what it cares about » Margaret J. Weathley ## The REBL DAO NFT The Rebellion Protocol is a community driven project and therefore emphasizes on the involvement of its community and holders in the decision making process. The REBL DAO NFTs give to its holders voting rights to make decisions in the REBL DAO. REBL DAO NFT (NFT) can be obtain as a reward for staking $REBL tokens (primary market) or can be purchased on the Rebellion NFT marketplace (secondary market). Any holders of $REBLs is eligible to stake REBLs and receive REBL DAO NFTs in return. A holder must stake for a minimum of two weeks to get NFTs, but may choose to stake longer. A multiplier applies for staking periods above two weeks, which means the longer $REBLs are staked the more NFTs are received as reward. NFT Rewards are callable at the end of the staking period. A minimum amount is required to stake. This guaranties a certain rarity of the NFTs and ensures a minimum value. To support smaller holders, the first two NFT rarity levels enjoy more vote in proportion to amount of REBL staked, than other NFTs. If you are Tier CAPO you will receive Legendary NFTs and below NFTs. ### Here is one of our NFTs {% embed url="" %} EPIC REBL DAO NFT {% endembed %} # The Investment DAO The investment governance process (Investment DAO) is the investment arm of the Rebellion Protocol project, which allocates the funds that are in the Rebellion Investment Wallet. ## **Whitelisting** ### **Who is eligible to make and/or vote on investment proposals?** * **The Protectors,** composed of REBL NFT holders with the highest number of votes, are eligible to make investment proposals * **The Rebels**, composed of all REBL NFT holders, are eligible to vote on investment proposals All REBL DAO NFT holders are Rebels and together they form The Rebellion. Yet only the top REBL NFT holders get granted the status of "Protectors". Protectors of the Rebellion are tasked with safeguarding which proposals are sent to the Rebels to be voted upon. ## Investment Process ### Step 1: Investment Proposal In order to make an investment proposal, a protector must must include all the following information: 1. The investment project name 2. A description of the project 3. All links to the project (incl. website, whitepaper, socials accounts, etc.) 4. Investors/backers (if any) 5. Token economics (if any) 6. Proposed amount to be invested (in BUSD) in the project and why 7. Reasons why the Rebellion fund should invest 8. The divestment threshold (target value) **Investment Amount** The maximum investment amount is 20'000 BUSD. The maximum investment amount is set to grow with the project's growth in value. **Divestment threshold** The divestment threshold is the target value expressed as a percentage of initial investment, after which the project will automatically divest the asset. For example; threshold is at 200% of initial investment of $10'000. Once the investment reaches a value of $20'000, it is automatically sold. **Burn Mechanism** For every investment granted, an extra 15% of the investment amount is taken from the investment wallet and sent to a burn wallet. If there is not enough reserve in the treasury for both the investment and the burn, the project will wait until there is enough reserve to execute. **First come first served principle** Proposals that are accepted will be executed one after the other as long as there is enough reserve in the treasury. If there is not enough reserve in the treasury, the project will simply wait until there is enough reserve to execute on the voted project. {% hint style="info" %} **Wallets** Treasury/Investment Wallet: Burn Wallet: {% endhint %} ### Step 2: Proposal review When an investment proposal is submitted, the proposal is immediately available for the community to see in Snapshot. The proposal will however be reviewed simultaneously by the team to make sure it fits the requirements. If the proposal does not fit the requirements, the proposal will be removed by the team. ### Step 3: Voting The community should take time to review the proposal and discuss it over the project’s official channels, Telegram being the main channel to discuss Investment proposals. When a proposal is presented it is in a pending stage for five (5) days, during which Rebels are not yet able to vote. The goal is to discuss the proposal. After the pending stage is over, the proposal becomes active for two (2) days for all Rebels to vote. “Yes”, “No” or "Abstention" votes may be cast during the voting period. Only REBL DAO NFT holders are eligible to vote (except for the top 50 NFT holders) and the weight of their vote corresponds to all voting rights given by all NFTs held by the address casting the vote. Any Rebel holders may change its vote during the voting period. $REBL (token) holders will not be entitled to vote, voters must have NFTs. To get NFTs stake your $REBL ([more info here](/rebellion-vc-fund/the-dao-nft)). **Quorum:** A minimum of 100 Votes must be casted for the vote to be valid **Acceptance:** Acceptance is reached when 50% of votes + 1 vote, of total votes made for this proposal, are in favor of the proposal. For the proposal to be successful and enacted, both Quorum and Acceptance must be reached. ### Step 4: Investment Execution After a proposal is successful (50% + 1 vote of total votes cast a "yes" vote), the project will invest from its Investment Wallet in the proposed project with the proposed amount. The team is responsible for the execution of investment proposals. For every investment made, an extra 15% of the investment amount is taken from the Investment Wallet and sent to a burn wallet. This ensures the $REBL token supply continually goes down. > If the Investment Wallet does not have enough funds to make the proposed investment + the 15% Burn, the project will wait until the Investment Wallet has enough tokens to make the investment and invest as soon as the Investment Wallet has enough funds. ### Investments may typically include: 1. Pre-sale participation 2. ICO/IDO 3. Investing in any crypto currencies/assets or tokens (including NFTs) 4. Investing in infrastructure & partnerships (as per Rebellion Capital's needs) # Divestments ### Divestment (selling off an investment) Once the divestment threshold is reached the Rebellion investment fund automatically divests the asset. An investment can also be divested if the DAO decides so, simply by making a proposal to divest a project, even if the threshold is not reached. {% hint style="info" %} **Fire Sale** In order to protect the wealth of the Rebellion, the team is entitled to divest any project (without having reached the threshold or been decided by the DAO), provided the value of an investment position falls by more than 25% in 24 hours. This process has been put in place in case of a massive sell-off in the market. This allows the Rebellion investment fund to quickly sell-off an investment(s) and retain profits. {% endhint %} ### Divestments fund use When a divestment event takes place divested funds are used as follow: * 70% is sent to the REBL Investment Wallet with the aim to be reinvested * 20% is used for $REBL token purchase & burns (may be over a certain period of time) * 10% Dividends airdrops * 8% to REBL DAO NFT holders (pro rata their NFT holdings) * 2% to the Protector who proposed the investment {% hint style="info" %} **Performance Threshold** An investment, once divested, must **return at least 1.5x** of initial investment for the Protector (who proposed the investment) to receive his dividend. Otherwise his dividend is burned. If an investment, once divested, **returns less than 1.0x** of initial investment, the entire sum received from the divestment event is returned to the Investment Wallet.
