Investment Governance Process
The investment governance process (Investment DAO) is the investment arm of the Rebellion Protocol project, which allocates the funds in the Rebellion VC fund.
The investment governance process is much faster that the General Governance Process. It is designed to allow for reactivity and speed regarding an investment or divestment.

Who is eligible to make proposals?

  • Officially elected investment consultants
  • Top 100 REBL DAO NFT holders
The reason why only a select number of members are eligible to make investment proposals, and not all REBL DAO NFT holders, is two-fold:
  1. 1.
It ensures only the best investment professionals propose investments, which in turn will provide best returns for the community
  2. 2.
The number of investment proposals would be too high
The investment governance process is a four-step process:

Step 1: Proposal

A proposal consists of a document that includes nine (10) distinct information:
  1. 1.
    The investment project name
  2. 2.
    A description of the project
  3. 3.
    The team behind the project
  4. 4.
    Investors/backers (if any)
  5. 5.
    Token economics (if any)
  6. 6.
Roadmap & Development stage of the project (if any)
  7. 7.
    When/condition to enter the investment
  8. 8.
    Timeframe of the investment
  9. 9.
Price projections over the investment timeframe (if any)
  10. 10.
Reasons why the Rebellion fund should invest

Step 2: Review period

When an investment proposal is made, a review period of two (2) days starts. The review period gives the opportunity to the community to review and discuss the proposal before voting commences.
From the review period on, the team may or may not issue an official opinion and a voting recommendation regarding the proposal. The community should take time to review the proposal and discuss it over the project’s official channels.

Step 3: Voting

Following the end of the review period, the proposal is open for one (1) day for all REBL DAO NFT holders to vote. “Yes” and “No” votes may both be cast during the voting period. Any REBL DAO NFT holders may change its vote during the voting period. Only REBL DAO NFT holders are eligible to vote, holding $REBL does not entitle a holder to any voting right.
Quorum: A minimum of 20% of total REBL DAO NFT voting rights must be cast to achieve Quorum. Acceptance: Acceptance is reached when 50% of votes + 1 vote, of total votes made for this proposal, are in favor of the proposal.
For the proposal to be successful and enacted, both Quorum and Acceptance must be reached.

Step 4: Execution

After a proposal is successful, depending on the conditions to enter the investment stipulated in the proposal, the team will make the execution complete. The team is responsible for the execution of investment proposals.

Divestment fund use

When a divestment event takes place, funds are returned to the Rocket Pool. A proposal may be made by members eligible to make investment proposals as to how funds may be allocated.
Divested funds will initially be used as follow:
  • 60% reallocation to new investments
  • 20% $REBL token purchase & burns (over a certain period of time)
  • 20% Dividends airdrops
    • 10% to $REBL holders (in REBL)
    • 5% to REBL DAO NFT holders (in $REBL)
    • 5% to the consultant who proposed that investment (in $REBL)
Divestments must provide a return of at least 1.5x initial invested amount for the consultant to receive its dividend

Investments may typically include:

  1. 1.
Pre-sale participation (typically negotiated with the team)
  2. 2.
    ICO/IDO
  3. 3.
Investing in any crypto related assets, including NFTs
  4. 4.
Investing in infrastructure & partnerships (as per Rebellion Capital's needs)
